1. Introduction
These Terms & Conditions (“Terms”) apply to all services provided by Hazel Dino (“we,” “us,” “our”) to clients (“you,” “client”) in Canada, the United States, and other regions. They cover the use of our website and the services we provide under written proposals, engagement letters, or statements of work.
2. Acceptance of Terms
By engaging us for work — through a signed proposal, a paid invoice, or written approval to begin — you confirm that you have read, understood, and agreed to these Terms. They apply alongside any project-specific agreement we sign together. If anything in a signed agreement conflicts with these Terms, the signed agreement wins.
3. Services Offered
We provide the following services:
- Website development (WordPress, Shopify, WooCommerce, Next.js)
- AI automation, chatbots, voice agents, and workflow design
- CRM setup and sales automation (specializing in GoHighLevel)
- Custom software, dashboards, portals, and internal tools
- eCommerce store builds and integrations
- SEO and Google Business Profile optimization
- Digital marketing campaigns and landing pages
- Social media automation and content systems
- Graphic design and branding
- Cloud hosting, DNS, and infrastructure setup
- Ongoing website maintenance and care plans
- Consulting on digital strategy and business automation
Specifics for each engagement — deliverables, deadlines, fees — are defined in the proposal or statement of work we sign with you.
4. Project Scope
Every project begins with a discovery call followed by a written proposal describing scope, deliverables, timeline, and fees. Work outside that scope (sometimes called “scope creep”) is handled through a written change order with adjusted timeline and fees. We will always discuss scope changes with you before doing the work.
5. Client Responsibilities
Projects move on time when both sides hold up their end. We expect clients to:
- Provide content (copy, images, brand assets) by agreed dates
- Review and approve designs and deliverables within 5 business days
- Supply secure access to required tools (hosting, domain registrar, CRM, payment gateway, etc.) when needed
- Pay invoices on the agreed schedule
- Designate one decision-maker as the main point of contact
- Respond to questions and feedback requests in a reasonable timeframe
Significant delays caused by missing content, late approvals, or unresponsive feedback may push project timelines and, where they require us to re-allocate staff or stretch a project beyond its contracted window, may result in additional fees.
6. Payments
Deposits
Most projects require a non-refundable deposit (typically 50%) before work begins. The remaining balance is invoiced based on the schedule in the proposal — usually at milestones or on completion.
Invoices
Invoices are sent by email and processed through Stripe. Payment terms are Net 7 from invoice date unless otherwise agreed. Monthly retainer fees are invoiced on the same day each month.
Late Payments
Invoices unpaid after 14 days may pause active work until the balance is cleared. Balances overdue more than 30 days may accrue interest at 2% per month and be referred for collection.
Refunds
Deposits are non-refundable because they reserve our calendar and cover discovery, planning, and initial design work. Once a project is underway, fees already paid for work delivered or in progress are non-refundable. If you cancel mid-project, you only pay for work completed up to that point.
Taxes
All fees are quoted in U.S. dollars (USD) unless otherwise stated and are exclusive of applicable taxes. Taxes (sales tax, GST/HST/PST, VAT, or other applicable taxes) are added to invoices where required by law based on your jurisdiction.
7. Project Timelines
Estimated timelines are provided in the proposal. We commit to start and end dates that depend on you holding up the responsibilities listed in Section 5. We are not responsible for delays caused by client unavailability, third-party service outages, or scope changes you request after work begins.
8. Revision Policy
Each project includes a defined number of revision rounds (typically 2 rounds of design revisions and 1 round of development revisions per major deliverable). Additional rounds beyond the included scope are billed at our standard rate of $125 USD/hour, with an estimate provided before work starts.
9. Intellectual Property & Ownership
Upon full payment of all outstanding invoices, the Client will own the final deliverables specifically created for their project, unless otherwise agreed in writing. This includes, but is not limited to:
- Website content provided by the Client
- Custom graphics, images, and branding created for the Client
- Website design customized for the Client
- Customer and contact data
- Domain names registered under the Client's ownership
- Business assets and project files expressly identified as part of the final deliverables
These materials are the Client's property and may be transferred to another service provider if requested.
Platform, Infrastructure & Proprietary Systems
While the Client retains ownership of their business assets and project deliverables, Hazel Dino retains ownership of all proprietary systems, development frameworks, reusable code libraries, automation templates, workflows, internal processes, methodologies, software architecture, and other intellectual property developed independently or used across multiple client projects.
This includes, but is not limited to:
- Proprietary development frameworks
- Reusable software components
- Automation templates and workflows
- Internal code libraries
- System architecture
- Development methodologies
- Proprietary AI prompts and automation logic
- Internal documentation and operational processes
These items form part of Hazel Dino's business infrastructure and are not transferred or licensed exclusively to the Client unless explicitly stated in a separate written agreement.
Third-Party Software
Some projects may include third-party software, plugins, themes, APIs, cloud services, or licensed tools (such as WordPress plugins, Shopify apps, GoHighLevel, Stripe, Cloudflare, or other commercial software). Ownership and licensing of these products remain subject to their respective providers' terms and conditions.
Open-Source Software
Many of the tools we use (WordPress, WooCommerce, React, Next.js, Node.js, n8n, etc.) are governed by open-source licenses (GPL, MIT, Apache, etc.). These licenses transfer with the project and are unaffected by our agreement.
Practical Example
To help clarify ownership, you can think of your project like moving into a professionally designed office.
When the project is complete, you own everything that belongs to your business — your customer information, domain name, branding, content, images created specifically for your project, and any custom deliverables included in your agreement.
However, the underlying systems used to build and operate your solution — such as proprietary development frameworks, reusable software components, automation templates, internal workflows, and technical infrastructure — remain the intellectual property of Hazel Dino. These foundational tools are comparable to the building's structure and utilities: they support your business but are not transferred as part of the project.
This approach allows Hazel Dino to continue improving its internal technology while ensuring Clients retain full ownership of the business assets created specifically for them.
Our Portfolio Rights
We may showcase completed work in our portfolio, case studies, and marketing materials unless you request otherwise in writing. We will never share confidential business details, internal data, or credentials.
10. Hosting & Third-Party Services
Most of what we build relies on third-party platforms and services, including:
- WordPress, Shopify, WooCommerce — website & eCommerce platforms
- GoHighLevel — CRM, email, SMS, calendars, automation
- Stripe, PayPal — payment processing
- Google — Workspace, Analytics, Ads
- Cloudflare, Vercel, AWS, DigitalOcean — hosting, DNS, CDN
- OpenAI, Anthropic, ElevenLabs — AI providers
- Twilio — SMS and voice
- Meta — advertising and analytics
These services are governed by their own terms and pricing. You agree to comply with their terms when we deploy them on your behalf. We are not responsible for downtime, billing changes, or feature changes made by third-party providers, but we will help you respond to them under your active care plan or retainer.
11. Limitation of Liability
To the maximum extent permitted by law, Hazel Dino is not liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, lost data, or business interruption — arising from or related to our services. Our total liability for any claim is limited to the total amount you paid us for the specific project giving rise to the claim during the 12 months preceding the claim.
12. Termination
Either party may terminate a project with 14 days' written notice. On termination:
- You pay for all work completed up to the termination date.
- We hand over completed deliverables for any paid work.
- We provide reasonable assistance during transition (up to 5 hours included; further hours at our standard rate).
- Non-refundable deposits are not refunded, as they cover work already performed.
Monthly retainers (maintenance, SEO, ads management, etc.) require 30 days' written notice to terminate.
13. Warranty Disclaimer
Our services are provided “as is.” We work to high professional standards and we stand behind our work, but we do not warrant that services will be uninterrupted, error-free, or meet every possible business outcome. Third-party platforms and AI providers may change behavior, pricing, or availability outside our control.
14. Force Majeure
Neither party is liable for failure to perform due to events outside reasonable control — including natural disasters, government action, labor disputes, internet outages, third-party service failures, cyberattacks, or pandemics. Affected timelines will be extended by a reasonable period.
15. Changes to Terms
We may update these Terms from time to time. The current version is always published at this URL with the “Last updated” date at the top. Material changes affecting active engagements will be communicated directly. Your continued use of our services after an update means you accept the revised Terms.
